What is Confirmation Statement?
An annual Companies House filing in which a UK limited company confirms its key registered details are correct, replacing the former Annual Return.
Full Definition
Every UK limited company and LLP must file a confirmation statement at Companies House at least once every 12 months. The statement confirms that the information held by Companies House is accurate: registered office address, principal business activities (SIC codes), directors and secretaries, persons with significant control (PSC register), share capital and shareholder details. The confirmation statement does not need to list financial information -- that is covered by the annual accounts filed separately. The filing deadline is within 14 days of the anniversary of incorporation (or the anniversary of the last confirmation statement). The filing fee is £34 if submitted online or £62 for a paper filing. Failing to file a confirmation statement is a criminal offence and Companies House can strike off the company, which would make it legally non-existent. Directors of struck-off companies can face personal liability for any debts incurred after strike-off. Unlike annual accounts, the confirmation statement is a simple administrative task that most directors can complete directly through the Companies House WebFiling portal.
