What is Badges of Trade Test?

The "badges of trade" are a set of indicative factors, developed through case law and adopted by HMRC, used to work out whether a particular activity amounts to trading -- taxable as self-employment income under Income Tax and Class 4 National Insurance -- or is instead a non-trading transaction, such as an investment disposal (taxable, if at all, under Capital Gains Tax) or a hobby or one-off event that falls outside the tax system altogether. No single factor is decisive; instead HMRC and tribunals weigh the overall picture against badges including: the frequency and number of similar transactions (a one-off sale looks less like trading than repeated buying and selling); the length of ownership before disposal (short ownership periods suggest trading rather than long-term investment); whether the asset was modified or improved to make it more saleable; the reason for the sale (a forced sale due to sudden need for cash looks less like trading than a planned, profit-driven disposal); whether the activity was organised in a business-like way, with financing, record-keeping or a degree of specialist knowledge; and the taxpayer's own intention at the time of acquisition, so far as it can be objectively evidenced. The test matters across many everyday situations that have grown with the "side hustle" economy -- reselling goods on platforms such as eBay or Vinted, day trading shares or cryptoassets, or renovating and selling property -- because the tax treatment, and which allowances and reliefs are available, can differ significantly depending on whether HMRC regards the activity as a trade. Because the badges of trade test is inherently a balancing exercise rather than a checklist, borderline cases often benefit from professional advice, and HMRC's own manuals (the Business Income Manual) give worked examples of how the badges have been applied in practice.
